Roger Breene practices in Wolff & Samson’s Corporate and Securities Group. His broad range of experience includes advising clients on the formation and structure of businesses – with a particular focus on closely held companies – and joint ventures, as well as on business split-ups. He also provides legal advice and drafts agreements regarding ownership and employment relationships, handles mergers and acquisitions, and delivers general advice and counsel to business owners.
Roger’s extensive experience in representing manufacturers includes an emphasis on structuring their nationwide distribution networks and, as appropriate, the termination of distributors.
Some of Roger’s transactional experience includes:
- Representing a national medical implant manufacturer in combining and assimilating its distributors with those of another national implant company it acquired
- Handling the $70 million acquisition by a public company client of a semiconductor business
- Representing a paving stone manufacturer in a joint venture with a similar manufacturer, including the financing of the facility constructed by the joint venture
Roger is named in The Best Lawyers in America in the area of Corporate Law and has an AV® rating from Martindale-Hubbell.
Roger is a cum laude graduate of Seton Hall University School of Law and won the 1979 Tax Moot Court Competition. After graduating from Seton Hall, Roger served as law secretary to Judge Kenneth C. MacKenzie, Superior Court, Law Division.
