In development matters, we work closely with the attorneys in our Land Use Group to obtain necessary approvals and variances and resolve issues before agencies and boards at all levels of government. Together with our colleagues in our Corporate Group and Tax Group, we counsel our clients regarding deal structuring and tax avoidance. Working with our Environmental Group and Litigation Group, we guide our clients through the full range of environmental issues and real estate-related disputes affecting our clients’ assets.

Together with our colleagues in our Land Use, Corporate, Tax, Environmental, and Litigation Groups, we offer clients the full range of disciplines necessary to execute complex transactions. This full service approach involves the real estate group in a variety of real estate-related matters including debt and equity offerings, sophisticated tax structuring to minimize or avoid income and transfer taxes, environmental remediation, and the resolution of real estate-related disputes.

Our real estate attorneys are highly experienced in every aspect of project development, acquisition, design, governmental approvals, financing, construction, management and brokerage.
Development work on behalf of our clients has involved both the public and private sectors and a myriad of asset types, including office, shopping center, residential, industrial, entertainment/retail, hotel and resort properties. We are particularly well versed in matters involving large-scale land assemblages and residential development as well as mixed-use projects involving commercial, hotel and retail components. We regularly appear before local and state agencies in pursuit of permits and approvals which are necessary to prosecute development.
Our construction background runs the gamut from representing developers, construction managers and contractors on major commercial projects to working on behalf of tenants in connection with the build-out of office and retail facilities. We are uniquely qualified to negotiate complex construction agreements often seen in major development projects as a consequence of our experience in the construction process.
We represent lenders and borrowers in connection with all phases of mortgage lending, including the financing of fee, leasehold and other real estate interests. We also gain competitive advantage from our ability to draw upon the expertise of our colleagues in our Corporate and Public Finance Groups for assistance in structuring innovative debt and equity financing vehicles involving public and private markets.
Many of our projects include sophisticated financing mechanisms involving leasehold mortgage financing, sale/leaseback transactions and other complex operating agreements and equity and cash flow participating arrangements. Having experience throughout the up and down real estate cycles of the past decades, we are keenly aware of the issues of concern to owners and lenders in financing transactions.
Our attorneys have significant experience with both performing and non-performing loans and have represented lenders and borrowers in connection with loan workouts and restructurings, receiverships and foreclosures. Together with our colleagues in our Bankruptcy Group, we also advise our clients on prepackaged bankruptcies and acquiring assets from an estate in bankruptcy.
Our leasing practice encompasses a broad spectrum of asset types and transactions. Representing both landlords and tenants in markets nationwide, our practice includes not only conventional office, retail and industrial leases, but ground, net and operating leases as well. We take pride in our representation of many national and regional retailers and manufacturers whose trade identities are universally known.
As a result of our representation of national, regional and local retail tenants, our group has earned a reputation as a leader in retail leasing around the country. Over the years, our leasing expertise has extended to other specialized areas and projects such as high-tech data centers, telecommunications facilities, production studios, entertainment/retail centers, theaters, theme restaurants, foreign missions, designer showrooms, garage and parking facilities, and the master leasing of signage rights.
